What is it?

When to issue one?

What should it include?

A clear NDA should:

  • Identify the parties involved
  • Define what counts as “confidential information”
  • Explain how that information can and cannot be used
  • Set out how long confidentiality obligations last
  • Confirm ownership of shared materials
  • Include space for signatures and dates
